Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Evolytix application and services (the "Service") provided by Evolytix Corporation ("Evolytix," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Use of the Service

Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Account registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at scott@evolytix.com of any unauthorized use of your account.

Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to transmit any harmful, offensive, or misleading content
• Resell or sublicense the Service without our written consent

2. QuickBooks integration

The Service integrates with Intuit QuickBooks Online via Intuit's API. By connecting your QuickBooks account, you:

• Authorize Evolytix to access your QuickBooks data as described in our Privacy Policy
• Agree to comply with Intuit's terms of service in addition to these Terms
• Acknowledge that Evolytix is not affiliated with or endorsed by Intuit Inc.
• Accept that we are not responsible for any errors, data loss, or issues arising from the QuickBooks API or Intuit's services

You may disconnect your QuickBooks account at any time from the Settings page.

3. Your data

You retain ownership of all data you enter into the Service, including time entries, project information, and client data ("Your Data"). By using the Service, you grant Evolytix a limited license to store, process, and transmit Your Data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights to submit Your Data to the Service.

4. Team accounts

If you create an organization account and invite team members, you are the account administrator and are responsible for:

• Ensuring team members comply with these Terms
• Managing access permissions appropriately
• All activity that occurs within your organization's account

5. Service availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be interrupted for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

6. Intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of Evolytix Corporation. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOLYTIX CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Evolytix Corporation and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may request deletion of your account data by contacting us at scott@evolytix.com.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the applicable courts of the United States.

12. Changes to these Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
